I hereby authorize Ionis Pharmaceuticals, Inc. (“Ionis”), its legal representatives, successors and assigns (collectively, “Authorized Parties”), and their officers, agents, and employees to capture my image and likeness in photographs, videotapes, motion pictures, recordings, or any other media (the “Images”). I hereby grant the Authorized Parties, their officers, agents, and employees, the irrevocable right, license and permission to edit, alter, modify, reproduce, copy, sell, exhibit, use, print, reprint, publish or distribute any and all Images, as well as any and all statements I provide to Ionis (the “Testimonials”), either alone or accompanied by other material in any format, including without limitation on the Internet or any social media outlet, whether composite, distorted, blurred or otherwise altered in character or form (intentional or otherwise), in conjunction with my name, information about me, and/or the names of any of the Authorized Parties, in perpetuity for any lawful purpose whatsoever, without compensation of any amount or kind. I hereby assign to the Authorized Parties all rights, title and interest, including copyright, in and to any and all such Images and Testimonials.
In addition, if I provide to an Authorized Party any photograph, videotape, motion picture, recording, or any other media that I have taken (the “Supplied Media”), I hereby grant to the Authorized Parties a fully paid-up, royalty-free, perpetual, irrevocable, sublicensable non-exclusive license to use such Supplied Media in the United States and elsewhere for any and all purposes. I understand and agree that all such Supplied Media will become the property of Ionis and will not be returned. I also permit the use of any printed material in connection with the Images or the Supplied Media, in written, electronic or any other form.
I acknowledge that (a) all statements in the Testimonials are true and accurately reflect my honest opinion and experience, (b) I have made these statements without any prior payment or promise of payment or any other benefit having been made to me and without any expectation by me of any payment or benefit in return, (c) no other party has been granted an exclusive license with respect to the Images, Testimonials, or the Supplied Media, and (d) no other party’s authorization or consent is required with respect to the permission granted to the Authorized Parties under this Authorization.
I hereby waive any right that I may have to examine or approve the Images, Testimonials, the Supplied Media, or the completed product or products or printed matter that may be used in conjunction therewith or the use to which it may be applied. I hereby release the Authorized Parties (and all persons acting under their permission or authority) from all claims, demands and causes of action arising out of or in connection with the use of the Images, Testimonials, or the Supplied Media, including but not limited to any and all claims for invasion of privacy, defamation, or infringement of copyright.
I HAVE READ AND UNDERSTAND THE ABOVE AUTHORIZATION, LICENSE AND RELEASE. BY CLICKING SUBMIT, I ACKNOWLEDGE THAT I HAVE FREELY AND VOLUNTARILY ENTERED INTO THIS AGREEMENT. THIS AGREEMENT IS BINDING ON ME AND MY HEIRS, LEGAL REPRESENTATIVES AND ASSIGNS.
